1. Acceptance of Terms

This Privacy Policy explains how Alternative Control Labs (“AltCtrl”, “we”, “us”, “our”) collects, uses, stores, and protects information in connection with access to and use of the AltCtrl Capital Orchestration System (the “AltCtrl COS”) (“the Platform”). By accessing or using AltCtrl COS, you acknowledge that you have read, understood, and agree to be bound by these Terms. Access to AltCtrl COS is provided on a reviewed and controlled basis. Submission of information or a request for access does not guarantee approval.

2. Purpose of the System

AltCtrl COS is a capital orchestration system designed to analyze, structure, and coordinate capital signals, asset readiness, execution sequencing, and system-level visibility within property operations. AltCtrl COS supports deliberate decision-making, execution discipline, and traceability across capital-related activities. The system provides governance and visibility, not outcomes. AltCtrl COS does not provide financial advice, legal advice, brokerage services, or guarantees of performance or results. All decisions made using the system remain the responsibility of the user and the organization they represent.

3. Eligibility and Authority

You represent and warrant that you are authorized to act on behalf of the organization for which you access AltCtrl COS and that you have the authority to bind such organization to these Terms. Alternative Control Labs reserves the right to approve, deny, suspend, or revoke access to AltCtrl COS at its sole discretion, including requesting additional information or verification to maintain system integrity and governance.n or a request for access does not guarantee approval.

4. User Responsibilities

By using AltCtrl COS, you agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your access credentials
• Use the system solely for lawful and authorized purposes
• Ensure that all submitted data, assets, and materials comply with applicable laws, regulations, and internal governance requirements

You are solely responsible for the content, data, and materials you submit to AltCtrl COS.

5. Data, Assets, and Submissions

Users may submit data, assets, listings, signals, and related materials (“Submitted Content”) for analysis, structuring, governance, and controlled exposure within AltCtrl COS.

By submitting content, you represent that:

• You have the legal right and authority to submit such content
• The content does not infringe any third-party rights
• The information is accurate to the best of your knowledge

Alternative Control Labs may review, approve, reject, restrict, or remove Submitted Content in accordance with internal governance standards. Alternative Control Labs is not responsible for misuse of data by users or third parties acting outside AltCtrl COS governance controls.

6. Subscription, Fees, and Payment

Access to AltCtrl COS is provided on a subscription basis under the applicable access tier. Fees are billed according to the selected plan and must be paid in full in accordance with the agreed billing cycle. Fees paid are non-refundable, except where required by applicable law. Failure to meet payment obligations may result in suspension or termination of access.

7. Availability and Modifications

AltCtrl COS is provided on an “as available” basis. Alternative Control Labs may modify, update, suspend, or discontinue any part of AltCtrl COS to maintain system integrity, security, compliance, or performance. The system may evolve through the introduction of new orchestration layers or governance mechanisms. No service level guarantee or uptime commitment is implied unless expressly agreed in writing.

8. Intellectual Property

All intellectual property rights in AltCtrl COS, including systems, logic, methodologies, orchestration frameworks, scoring mechanisms, interfaces, and documentation, are the exclusive property of Alternative Control Labs or its licensors. No rights are granted except as expressly stated in these Terms. You may not copy, reverse engineer, or misuse any part of AltCtrl COS.

9. Limitation of Liability

To the maximum extent permitted by law:

• Alternative Control Labs is not liable for decisions made using AltCtrl COS
• No guarantee is made regarding outcomes, performance, or capital results
• Alternative Control Labs shall not be liable for indirect, incidental, or consequential damages

AltCtrl COS provides orchestration and visibility, not certainty of outcome.

10. Termination

AltCtrl may suspend or terminate access if:

• These Terms are violated
• Payment obligations are not met
• Use of the Platform poses risk to system integrity, compliance, or governance

Users may request termination of access at any time. Termination does not entitle the user to refunds unless required by law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the applicable jurisdiction in which Alternative Control Labs operates, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms may be resolved through binding arbitration or other lawful dispute resolution mechanisms, unless mandatory local law requires otherwise.

12. Changes to These Terms

Alternative Control Labs reserves the right to modify these Terms at any time. Updated Terms will be posted with a revised effective date. Continued use of AltCtrl COS after such changes constitutes acceptance of the updated Terms.
